Vedanta Limited has secured approval from the Competition Commission of India (CCI) for its INR 17,000 crore acquisition of Jaiprakash Associates Limited (JAL), a company carrying substantial debt. This clearance marks a key step in Vedanta's bid under the Insolvency and Bankruptcy Code (IBC) process, allowing the company to move ahead with its plan to acquire JAL and strengthen its presence in infrastructure and industrial sectors.


The acquisition followed a competitive bidding process where Vedanta outbid the Adani Group. Other interested parties such as Jindal Power, Dalmia Bharat, and PNC Infratech eventually withdrew from the race. The deal includes an upfront payment of about INR 3,800 crore, with annual installments ranging between INR 2,500 crore and INR 3,000 crore over the next five years. JAL, once the flagship company of the Jaypee Group, has been undergoing insolvency proceedings since mid-2024 due to outstanding debt exceeding INR 59,000 crore.

While the acquisition gives Vedanta an opportunity to diversify into infrastructure and real estate, credit analysts have advised caution.
