Synopsis

Jindal Power Ltd (JPL), led by Naveen Jindal, has agreed to acquire the 1,350 MW Jhajjar Power Project in Haryana from Apraava Energy, formerly CLP India, in a deal valued at around INR 4,000 crore. The acquisition, expected to close within a month, marks a major addition to JPL's existing 4,300 MW thermal capacity across Chhattisgarh, Maharashtra, and Andhra Pradesh. The Jhajjar plant, commissioned in 2012, was India's first supercritical power facility in the National Capital Region and includes advanced flue gas desulphurisation technology.

Jindal Power Ltd (JPL) has signed an agreement to acquire the 1,350 MW Jhajjar Power Project in Haryana from Apraava Energy, marking one of the largest recent deals in India's thermal power sector. The transaction is valued at approximately INR 4,000 crore. Earlier this year, JPL became the leading contender for the acquisition after entering an exclusivity agreement with Apraava Energy for bilateral negotiations. The Czech-based Sev.en Global Investments had also been in the running for the asset.


The deal is expected to close within a month and reinforces JPL's strategy to expand its base-load generation capacity amid strong demand for thermal power. Axis Capital and HSBC advised Apraava Energy on the sale.

The Jhajjar plant, operational since 2012, was India's first supercritical power project in the National Capital Region. Built at an investment of about USD 1.2 billion, it supplies 90% of its electricity to Haryana utilities and the remainder to Tata Power Trading Company. The plant was also the first in the NCR to incorporate flue gas desulphurisation technology, helping reduce emissions significantly.

As part of the transaction, Jhajjar Power Limited, a subsidiary of Apraava Energy, will transfer its entire paid-up share capital to Jindal Jhajjar Power Limited, a wholly owned subsidiary of Jindal Power. Two other subsidiaries, Apraava Renewable Energy Private Limited and Kohima-Mariani Transmission Limited, are also included in the proposed acquisition.

For the Jindal Group, this purchase adds substantial scale to its existing thermal capacity of 4,300 MW across Chhattisgarh, Maharashtra, and Andhra Pradesh. The group is simultaneously investing in renewable energy and aims to achieve 12 GW of clean energy capacity, including energy storage and green hydrogen production, by 2030.
