Wipro has announced the acquisition of HARMAN's Digital Transformation Solutions (DTS) business unit for up to USD 375 million. The all-cash transaction will see more than 5,600 DTS employees from 14 countries, including key leadership, transition to Wipro. The acquisition is designed to enhance Wipro's AI-powered digital engineering capabilities and will be followed by a multi-year strategic agreement with HARMAN and Samsung, opening new avenues for joint innovation and growth. This deal, one of Wipro's largest in the ER&D space, is expected to close by December 31, 2025, subject to regulatory approvals.
Indian IT services giant Wipro has signed a definitive agreement to acquire the Digital Transformation Solutions (DTS) business unit of HARMAN, a subsidiary of the South Korean conglomerate Samsung, for a total consideration of up to USD 375 million (approximately INR 3,270 crore). This acquisition marks a pivotal step in Wipro's strategy to expand its next-generation engineering research and development (ER&D) service offerings.
As part of the transaction, Wipro will gain 100% ownership of DTS, a global provider of ER&D and IT services. The deal will result in over 5,600 DTS employees, including key leadership, across the Americas, Europe, and Asia, transitioning to Wipro. This influx of talent and expertise is expected to significantly bolster Wipro's capabilities in areas such as embedded software, digital engineering, and device engineering.
According to a company statement, the DTS unit brings a robust foundation in digital engineering, with strengths in domain-led design, connected products, and software platforms. This expertise, combined with Wipro's consulting-led and AI-powered capabilities, will allow the company to offer clients a more comprehensive suite of services, from design to manufacturing.
Srini Pallia, CEO and Managing Director of Wipro, commented on the acquisition, stating, "Their specialized engineering expertise, combined with Wipro's consulting-led, AI-powered capabilities, will significantly enhance the value we deliver to clients. This acquisition is also a win for HARMAN, as it allows the company to sharpen its focus on its core strengths in automotive electronics and audio innovation. Christian Sobottka, CEO of HARMAN, remarked, "This agreement unlocks the next chapter for the DTS business unit-one where it can scale faster, reach more clients in key industries, and fully realize its growth potential."
The acquisition, which is subject to customary regulatory and antitrust approvals, is expected to be completed by the end of 2025. Upon completion, the DTS business will be integrated into Wipro's Engineering Global Business Line. Additionally, Wipro will enter into a multi-year strategic agreement with HARMAN and Samsung to further deepen their relationship and pursue new joint growth opportunities. The DTS unit reported consolidated revenues of USD 314.5 million in 2024, with about 85% of its revenue coming from services.
